GEORGE HERIOT’S SCHOOL FORMER PUPILS’ GOLF CLUB

CONSTITUTION

1. NAME                                  

1.1 The Club shall be called “George Heriot’s School Former Pupils’ Golf Club” (hereinafter referred to as “the Club”).

2. MEMBERSHIP

The Club shall consist of Ordinary Members, Life Members and Honorary Members.

2.1 Ordinary Members 

The following shall be eligible for Ordinary Membership:

  1. Former pupils of George Heriot’s School and past and present Governors and Staff of George Heriot’s School.
  2. Such persons (representing not more than 10% of the total membership of the Club at the time of election) who do not qualify for membership under clause 2.1 (a), provided that such individuals have been or are currently full members of a sister Heriot Club for at least three years and are proposed by five members of the Club and are approved by the Committee of the Club.

2.2 Life Members                           

All Ordinary Members who have attained the age of 60 years and have been in membership of the Club for not less than ten years shall be eligible for Life Membership.  The Committee of the Club shall have the power to waive the foregoing qualifying period of membership and age requirement in any especially deserving case.

2.3 Honorary Members

Honorary Members shall consist of an Honorary President and such number of Honorary Vice Presidents as shall be elected at any General Meeting of the Club by a motion approved by not less than two-thirds of the Members present.

3. OBJECTS

The objects of the Club shall be:

3.1 To promote and develop interest in Golf.

3.2 To provide teams of Members for entry and participation in golf competitions, both local and national.

3.3 To organise and arrange Golf Outings, Competitions and Social Events of all kinds for the enjoyment of Members of the Club.

4. MANAGEMENT AND OFFICE BEARERS   

4.1 The affairs of the Club shall be managed by a Committee of the Members of the Club.

4.2 The Committee which shall be elected at Annual General Meetings of the Club shall consist of the following:

A Captain and a Vice-Captain, each of whom shall serve for two years.  An Honorary Secretary, and Honorary Fixture Secretary and an Honorary Treasurer, who shall be elected annually, and five Members of committee who shall serve for three years and shall be eligible for immediate re-election.           

4.3. The Committee shall have power at any time to co-opt Members to fill casual vacancies arising during the year or for any specific purpose.

5. MEETINGS                       

There shall be held once in every calendar year, a General Meeting of the Members of the Club, such meeting to be known as the Annual General Meeting and to be held in the month of January.

5.1 Annual General Meeting

All nominations (proposed and seconded) and all other items of business must be in writing and must be submitted to the Secretary by 30th November.

5.2 Notice of Meetings

Fourteen days’ notice of the time and place of such Annual General Meeting shall be given to the members of the Club.  The quorum at Annual General Meetings shall be twelve Members.

5.3 Special General Meetings

A Special General Meeting of the Members of the Club may be called at any time by the Committee, or on a request signed by not less than ten Members of the Club.  Such requests shall specify the business for which the Special General Meeting is being held.  The Committee shall cause the requested Meeting to be convened not later than two calendar months after receipt of such request, by sending to the Members of the Club not later than fourteen days prior to the date fixed for such Special General Meeting, a Notice specifying the date, time and place of such meeting and the business for which the Special General Meeting is being convened.  No business other than that specified in the Notice shall be dealt with at such meeting.

5.4 Quorum at General Meeting

At Special General Meetings the quorum shall be twelve members present.

5.5 Committee Meetings

Committee Meetings shall be summoned and held as and when required.

5.6 Quorum at Committee Meetings

At Committee Meetings the quorum shall be four Members of Committee and Office Bearers present.

5.7 Chairman

At all meetings of the Club and Committee the Captain, whom failing, the Vice-Captain, shall preside; in the absence of both a member of the Committee, whom failing any other Member shall be appointed to preside.

5.7 Casting Vote at Meetings

The Chairman at all meetings shall have a casting vote as well as a deliberative vote.

6. SUBSCRIPTION

6.1 The Annual Subscription can only be altered at the Annual General Meeting.

6.2 Subscription for Life Members shall be fifteen times the Annual Subscription and that for school leavers shall be £5 in total for the first four years out of school.

6.3 Until their Annual Subscription has been paid a Member shall not be entitled to participate in any of the Competitions of the Club, represent the Club, or to vote at any Annual or other General meeting of the Club (nor to serve upon the Committee).

6.4 In the event of a member failing to pay their Annual Subscription for two years or for such other period as the Committee decide, after due notice, that Member’s name shall be removed from the list of Members of the Club and he shall cease to be a Member of the Club.

6.5 The Financial Year of the Club shall end on 30th November.

7. WHS HANDICAPS

Members participating in Meetings and Competitions shall play according to their WHS Handicap at the discretion of the Committee.  Any Members without a WHS Handicap shall play off a handicap assessed and approved by the Committee.

8. PROPERTY AND FUNDS

The Honorary Treasurer of the Club shall, under instructions from the Committee, receive all monies due to the Club and shall disburse all monies due by the Club.  They shall keep accounts of their intromissions in the form prescribed by the Committee which accounts shall once in each year be reviewed by the Independent Accountant and after review presented for approval to the Annual General Meeting of the Club.  All monies collected by the Honorary Treasurer shall be paid by them into such bank or other institution as shall be directed by the Committee.

9. AUDITOR

9.1 An Independent Accountant shall be appointed annually by the Members of the Club in General Meeting. 

9.2 The Independent Accountant shall have the rights to access at all times to the Books and Accounts of the Club.

10. CONSTITUTION

This Constitution shall be altered only by resolution passed by not less than two-thirds of the Members attending any General Meeting, notice of which Meeting shall have been given at least fourteen days before the Meeting and shall have contained the terms of such proposed resolution.
